Documents Required for ROC Annual Filing

AOC-4 needs the audited financial statements, board's report, auditor's report and, where applicable, consolidated financial statements and the CSR report. MGT-7 needs the annual return details — shareholding pattern, board composition and (for listed/certain companies) the MGT-9 extract.

Entity & dates

AOC-4, MGT-7 and ADT-1 all recompute from this date.

Applicable filings

ADT-1 is filed only when an auditor is appointed or re-appointed — typically once every five years, not at every AGM.

DPT-3 is filed by every company — including a nil return where there are no deposits or loans. Included by default; tick only to exclude it.

Event-based — 30 days from the resolution date, not annual.

E.g. AOC-4 filed 78 days late = ₹7,800.

For AOC-4

Audited financial statements (balance sheet, profit and loss account, cash flow statement where applicable), the board's report, the auditor's report, and — for companies that file XBRL — the XBRL-tagged version of the financial statements. Companies with subsidiaries also need consolidated financial statements attached.

Gathering these before the AGM, not after, matters because AOC-4's 30-day clock starts the moment the AGM happens — a company that waits until after the AGM to start compiling documents is already behind before the clock even starts.

For MGT-7 and beyond

MGT-7 needs the annual return particulars — registered office details, shareholding pattern, board and key managerial personnel composition, and details of meetings held during the year. ADT-1, where applicable, needs the auditor's written consent and eligibility certificate under Section 141, not just the appointment resolution itself.

DPT-3, being a fixed-date filing independent of the AGM, needs its own document set assembled separately — details of deposits and exempted particulars like director loans, pulled from the company's books rather than from anything prepared for the AGM.

Building the document checklist into the calendar, not after it

The firms that consistently file on time treat document collection as part of the same calendar entry as the due date itself, rather than a separate task remembered only once the deadline is already close — attaching a document checklist to each computed deadline on this calculator's export is one practical way to keep the two connected.
