MGT-7 Late Filing Penalty
MGT-7, the Annual Return, filed 65 days after its due date (60 days from the AGM) costs ₹6,500 — the same ₹100/day, no-cap structure as AOC-4, computed independently.

MGT-7's own clock, and its own penalty
MGT-7 is due 60 days after the AGM — a full month after AOC-4's 30-day window from the same meeting — and carries the identical ₹100/day, no-cap additional fee, effective 1 July 2018. A filing due 29 November 2026 and made 2 February 2027 accrues ₹6,500 on its own, entirely independent of whatever AOC-4 for the same year has or hasn't accrued.
Because both forms come from the same AGM but run on different clocks, it's common for one to be filed on time and the other missed — tracking them as a pair per financial year, rather than assuming one filing implies the other, catches this before it compounds.
Small companies and MGT-7A
Small companies and One Person Companies file the abridged MGT-7A instead, with the same ₹100/day penalty structure but a different due-date basis for OPCs (60 days from the financial year end, since an OPC has no AGM) rather than 60 days from the AGM. Re-checking small-company eligibility each year matters, since a company that grows past the paid-up capital or turnover threshold mid-year must revert to full MGT-7.
As with AOC-4, the number that matters for a defaulting client is rarely a single year's fee — it's the cumulative total across every unfiled year, and whether that pattern has already crossed the three-consecutive-year disqualification threshold under Section 164(2).
